Terms & Conditions of Supply, Installation, Maintenance and Service

1. Definitions

  • “Company” refers to ProSecure Solutions Ltd. (“we”, “us”, “our”).

  • “Customer” refers to the person, firm or company who accepts a quotation from the Company (“you”, “your”).

  • “Services” refers to design, supply, installation, maintenance, repair and any related services of security and alarm systems promised by us.

  • “System / Installation” means the security system as specified in our quotation or design proposal.

  • “Premises / Site” means the property/address where the System will be installed or maintained.

2. Contract Formation and Acceptance

  • No contract exists until we issue a written quotation that you accept (in writing or by our engineer commencing work).

  • Acceptance of our quotation constitutes your unqualified agreement to these Terms — they override any terms you may propose.

  • We reserve the right to refuse or cancel any order or accepted quotation at our discretion, subject to refund of any deposit (if applicable).

3. Customer Pre-Installation Obligations

Before installation, you must:

  • Obtain any necessary consents or licences (e.g. landlord permission, planning permission, statutory consents) if required.

  • Provide complete and free access to the Premises at the agreed time — including any access needed to install cabling, hardware, power supply, and mounting points.

  • Ensure power supply and working conditions are ready (e.g. point of power outlet, safe access areas), unless explicitly included in our quotation.

  • Inform us of any property constraints, hazards, or special requirements at the Premises (e.g. structural restrictions, shared landlord agreements).

Failure to meet these obligations may result in delays, additional charges, or refusal to install.

4. Scope of Services, Maintenance & Call-outs

  • Services include those detailed in the accepted quotation / design proposal. Any additional work will require a new or amended quotation.

  • Maintenance or call-out services (if requested) will be subject to our standard service terms, including possible charges for parts, labour, travel, or after-hours work.

  • We may subcontract parts of the Services or maintenance work at our discretion, provided subcontractors are suitably qualified.

5. Price, Payment and Variations

  • Quotation prices are based on current labour, materials, transport and statutory costs at the time of quotation. If there is any change (e.g. materials cost, taxes, access conditions, scope changes), we reserve the right to vary the price accordingly.

  • Payment terms (deposit, full payment, instalments) will be defined in the quotation. Payment is due upon receipt of the invoice unless otherwise agreed.

  • If access or preparation is not provided as required (see clause 3), we may charge a reasonable additional fee or reschedule the installation.

6. Intellectual Property and Ownership

  • All designs, plans, manuals and documentation supplied by us remain our intellectual property, unless explicitly agreed otherwise.

  • Equipment supplied becomes your responsibility from completion of installation (unless under maintenance contract).

7. Liability, Warranties, and Disclaimers

  • We will execute Services with reasonable skill and care.

  • However, we do not guarantee absolute security or uninterrupted functionality (as no system can cover all risks).

  • To the extent permitted by law, we exclude liability for indirect or consequential loss (e.g. loss of use, loss of profits, property damage due to user negligence or external factors).

  • If you have a maintenance agreement, faulty parts may be replaced; but defects caused by misuse, neglect, vandalism, or external causes (fire, flood etc.) may not be covered — or may incur extra cost.

8. Termination & Cancellation

  • You may cancel or postpone works before we mobilise (and before we start on site); any deposit paid may be refunded partially or fully, depending on costs incurred (e.g. design, labour allocation, ordering parts).

  • Once installation has commenced, cancellation may not be possible — or may incur minimum charges equal to cost of labour and materials committed.

  • Maintenance or service contracts (if separately agreed) may have a minimum term — early termination may incur charges.

9. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
